These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client", "you", or "your") and HowStack, a platform owned and operated by Mesh Nexus Solutions Sdn Bhd (hereinafter referred to as "Mesh Nexus", "Company", "we", "us", or "our") governing your use of our website at www.howstackbiz.com, our software platform, and the services we provide.

By accessing our website, logging into the platform, submitting an enquiry, or engaging our services, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, please do not use our website or engage our services.

1. Description of Services

HowStack provides a digital platform and custom agency services, including digital systems, automation, and recurring business management.

1.1 Platform Subscriptions and Recurring Services

Access to the HowStack platform and ongoing agency retainer services are provided on a recurring subscription basis.

1.2 Custom Projects

Custom, non-recurring services are quoted individually. No custom work is commenced until a project scope and fee have been agreed upon in writing by both parties.

2. Payment Terms

2.1 Subscriptions and Recurring Billing

For recurring agency services or platform subscriptions, payments are processed automatically via our third-party payment processor on a scheduled basis (e.g., monthly). By enrolling in a recurring service, you authorize us to charge your payment method on file.

2.2 Invoicing for Custom Work

Invoices for one-off or custom projects are issued in accordance with the payment schedule agreed upon in the project agreement. Final payment is due prior to final delivery.

2.3 Currency

All fees are quoted and payable in US Dollars (USD) unless otherwise specified.

2.4 Late Payments

Late payments may result in the suspension of platform access or ongoing work until the outstanding balance is settled.

3. Refund and Cancellation Policy

Important: Our refund and cancellation policy reflects the custom, service-based nature of our work and platform access.

3.1 Subscription Cancellations

You may cancel your recurring subscription at any time. Cancellations must be made before your next billing cycle to avoid being charged for the subsequent month. We do not provide prorated refunds for partial months of service.

3.2 Deposits

Deposit payments for custom projects are non-refundable. They compensate us for planning and reservation of capacity.

3.3 No refunds after work commences

Once custom project work has commenced, no refunds will be issued for work already completed or in progress.

3.4 Cancellation Notice

To cancel a subscription or custom project, please submit written notice to support@howstackbiz.com.

4. Intellectual Property

4.1 Deliverables

Upon full payment, you receive a non-exclusive licence to use the delivered assets and systems for your business operations.

4.2 Platform Ownership

Mesh Nexus retains all intellectual property rights to the HowStack software platform, underlying code, and proprietary workflows.

4.3 Your Content

You retain full ownership of all assets, client data, and business information you upload to the platform or provide to us.

5. Limitation of Liability

To the fullest extent permitted by law, our total liability shall not exceed the total fees paid by you in the 6 months preceding the claim. We are not liable for indirect, special, or consequential damages.
